1. About Vexida

Vexida provides AI-powered business intelligence, forecasting, recommendations, operational insights, workflow assistance, and related software services.

The Services are intended to assist business users in making informed decisions but do not replace professional judgment.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Restricting access to your account
• All activities conducted under your account

You agree to provide accurate and complete information when creating an account.

4. Subscription and Billing

Certain features may require a paid subscription. Subscriptions may be billed monthly or annually.

Unless otherwise stated:

• Fees are non-refundable
• Subscriptions automatically renew until canceled
• You may cancel at any time before the next billing period

Vexida reserves the right to modify pricing with reasonable notice.

• Upload malicious code or malware
• Attempt unauthorized access to systems or data
• Reverse engineer the Services
• Interfere with the operation of the platform
• Use the Services to create illegal, fraudulent, or harmful content

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Customer Data

You retain ownership of all information, files, and content you submit to Vexida ("Customer Data").

You grant Vexida a limited license to process Customer Data solely for the purpose of providing and improving the Services.

Vexida does not claim ownership of Customer Data.

7. Artificial Intelligence and Recommendations

Vexida may generate forecasts, recommendations, analyses, summaries, and other outputs using artificial intelligence.

AI-generated outputs:

• May contain inaccuracies
• Are provided for informational purposes
• Should not be considered legal, accounting, tax, financial, or professional advice
• Should be reviewed by appropriate personnel before implementation

You are solely responsible for decisions made based on outputs generated by the Services.

8. Intellectual Property

The Services, including software, interfaces, designs, branding, algorithms, and documentation, are owned by Vexida and protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

9. Availability

We strive to provide reliable access but do not guarantee uninterrupted or error-free operation.

Vexida may modify, suspend, or discontinue portions of the Services at any time.

10. Third-Party Services

The Services may integrate with third-party platforms including CRM systems, analytics providers, marketing platforms, payment processors, and AI providers.

Vexida is not responsible for third-party services or their availability.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXIDA DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF RESULTS
• AVAILABILITY OR PERFORMANCE

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXIDA SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES
• INCIDENTAL DAMAGES
• CONSEQUENTIAL DAMAGES
• LOST PROFITS
• LOST REVENUE
• LOSS OF DATA

VEXIDA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VEXIDA DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vexida and its affiliates from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable law

14. Termination

You may stop using the Services at any time.

Vexida may suspend or terminate access for violations of these Terms or to protect the integrity of the Services.

15. Governing Law

These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Tennessee.

16. Changes to Terms

We may update these Terms from time to time.

Continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
